Terms of Service
These Terms of Service (“Terms”) govern your access to and use of www.ascendryrealestate.com, Ascendry programs, educational services, community areas, live calls, workshops, events, deal reviews, one-on-one sessions, templates, tools, analytical resources, communications, and related services provided by AscendryRE, LLC (“Ascendry,” “we,” “us,” or “our”) (collectively, the “Services”).
By accessing the website, applying for or enrolling in a program or service, making a purchase, creating an account, participating in the community, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
Arbitration Notice: These Terms include an agreement to resolve most disputes through binding individual arbitration and a waiver of class actions, as described in Section 19.
1. The Services
Ascendry provides educational programs, analytical resources, community access, events, calls, workshops, deal reviews, one-on-one sessions, templates, tools, recordings, and related resources for real estate investors, operators, and professionals. Some Services may be application-gated, invitation-only, cohort-based, time-limited, or subject to other eligibility or participation requirements. Submitting an application, booking a call, or receiving an invitation does not guarantee acceptance or continued access.
Certain Ascendry programs or services may include access to AdamIQ, a separate software platform operated by AdamIQ, LLC and governed by its own terms, policies, and disclosures. See Section 8. Certain higher-touch, project-based, consulting, or other services may also require a separate enrollment, order, services, or engagement agreement. If such an agreement conflicts with these Terms, the separate written agreement controls for that specific service to the extent of the conflict.
2. Eligibility and Accounts
You must be at least 18 years old and legally able to enter into a binding agreement to use the Services. You agree to provide accurate account, billing, and contact information and to keep that information current.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You may not share your account, sell access, transfer your enrollment or access, or allow another person to use your login without Ascendry's written permission. You agree to notify Ascendry promptly if you believe your account, password, or access credentials have been compromised.
3. Fees, Purchases, Payment Plans, Cancellation, and Refunds
Pricing and purchase terms: Ascendry pricing is shown in the applicable application, enrollment flow, checkout page, order form, invoice, or separate written agreement and may vary by program, cohort, promotion, founding-cohort offer, service scope, or other arrangement. Prices are in U.S. dollars and may exclude applicable taxes or other charges disclosed at purchase. By enrolling in or purchasing a Service, you agree to the total price, payment schedule, taxes, and other purchase terms disclosed to you at that time.
Payment plans and installments: If Ascendry allows you to pay a fixed program or service price in installments, the payment plan is a method of paying the total purchase price over time. It is not a month-to-month subscription and does not make the purchase cancellable on a monthly basis. Unless a separate written agreement expressly states otherwise, you remain responsible for the full purchase price and all scheduled installments even if you later withdraw, stop participating, or stop using the Services, subject to applicable law.
No refunds: Except for duplicate or erroneous charges, circumstances where Ascendry is required by applicable law to provide a refund, or as otherwise expressly stated in a separate written agreement, all purchases are final and non-refundable once payment is made. Our Refund & Cancellation Policy is incorporated into these Terms.
Cancellation or withdrawal: You may stop participating in an Ascendry program or service at any time by notifying us at [email protected]. Stopping participation, withdrawing, missing sessions, or choosing not to use included Services does not create a right to a refund, credit, transfer, deferral, or release from any remaining payment obligations. Transfers or deferrals require Ascendry's written approval.
Payment authorization and failed payments: By providing a payment method, you authorize Ascendry and its payment processors to charge the amounts due according to the payment terms you accepted. You are responsible for keeping payment and contact information current. If a scheduled payment fails or an amount becomes past due, Ascendry may suspend or restrict access until the account is brought current, and any outstanding amounts remain due subject to applicable law.
Separate written agreements: Certain higher-touch, project-based, consulting, or other Services may be governed by a separate enrollment, order, services, or engagement agreement. If a separate written agreement contains payment, refund, cancellation, scope, duration, or termination terms that conflict with this Section 3, the separate written agreement controls for that specific Service.
4. Educational Purpose — Not Investment, Legal, Tax, or Other Professional Advice
Ascendry provides education, informational and analytical resources, tools, and community-based support. Ascendry does not provide financial, investment, legal, tax, accounting, securities, brokerage, lending, real estate agency, or other professional advice. Nothing in the Services creates an investment advisory, fiduciary, brokerage, attorney-client, accountant-client, tax-adviser, lender, agency, partnership, joint venture, employment, or other professional relationship between you and Ascendry, its founders, employees, contractors, affiliates, speakers, or representatives.
Real estate investing involves substantial risk, including the possible loss of capital. You are solely responsible for your own decisions, due diligence, professional consultations, investments, business activities, and outcomes. You should consult qualified licensed professionals before making investment, legal, tax, financing, accounting, business, or real estate decisions.
Any review, feedback, verdict, retrade analysis, LOI review, diligence discussion, lender-readiness discussion, underwriting discussion, or other founder or Ascendry input is educational, informational, or analytical support based on the information available at the time. It is not an approval, certification, guarantee, fiduciary determination, or recommendation that you enter into, continue, finance, or close a transaction. References to information being "verified," "reviewed," or "checked" do not guarantee that the information is complete, current, accurate, or independently confirmed by a licensed professional.
Our Earnings & Results Disclaimer is incorporated into these Terms.
5. No Securities Offering or Investment Solicitation
Ascendry provides educational, analytical, and community-based Services. Nothing on the Ascendry website, within the Services, during Ascendry calls or events, or in Ascendry materials constitutes an offer to sell, a solicitation to buy, or a recommendation of any security, real estate investment, fund, syndication, note, partnership interest, membership interest, or other investment product.
Ascendry does not currently sponsor, offer, sell, or recommend securities or investment opportunities through the Services.
Users and participants may not use the Services to distribute securities offerings, solicit investments, raise capital, promote pooled investment opportunities, or market investment products unless expressly authorized by Ascendry in writing and only in compliance with all applicable laws.
6. Future Investment Opportunities
In the future, Ascendry, its affiliates, founders, or related parties may participate in separate real estate investment vehicles, funds, syndications, joint ventures, or other investment opportunities. Any such opportunity, if offered, will be offered only through a separate legal entity and formal offering and subscription documents, and only to persons who satisfy applicable legal and eligibility requirements. Participation in Ascendry does not guarantee access to any future investment opportunity.
7. Earnings, Results, Testimonials, and Case Studies
Ascendry does not represent, warrant, or guarantee that you will earn income, achieve any particular investment return, close any deal, obtain financing, acquire any property, improve business performance, or achieve any other financial or business result through your use of the Services.
Examples, case studies, underwriting scenarios, deal discussions, deal reviews, verdicts, retrade analyses, LOI examples, portfolio references, project summaries, financial figures, founder experiences, participant experiences, testimonials, or other stories are provided solely for educational and illustrative purposes. They should not be interpreted as promises, projections, forecasts, guarantees, recommendations, or generally expected results. Individual results vary widely, and some participants or users may achieve no financial or business result.
Ascendry publishes testimonials, participant stories, case studies, or participant results only with applicable permission or consent. If a particular program or offer includes a separately disclosed testimonial, case-study, recording, or media consent as part of enrollment, that consent is governed by the applicable release, enrollment terms, or other written agreement. Ascendry may edit approved materials for clarity, length, grammar, formatting, or privacy, provided the substance is not materially altered.
8. AdamIQ Platform Access and AI-Assisted Services
AdamIQ is a separate software platform operated by AdamIQ, LLC. Certain Ascendry programs or services may include access to AdamIQ, but AdamIQ is not operated by AscendryRE, LLC. When you register for or use AdamIQ, you enter into a separate relationship with AdamIQ, LLC.
Your use of AdamIQ is governed by AdamIQ's own Terms of Service, Privacy Policy, disclaimers, disclosures, software terms, subscription terms, usage limits, fair-use standards, and other applicable agreements. Any AdamIQ access included with an Ascendry program or service remains subject to AdamIQ account eligibility, technical availability, usage limitations, service changes, and separate platform rules. AdamIQ may separately establish, modify, suspend, or terminate access, features, usage allotments, data policies, output limitations, and user obligations in accordance with its own terms.
Ascendry does not make any independent warranty, guarantee, or representation regarding AdamIQ outputs or any investment, business, underwriting, financing, legal, tax, accounting, transaction, or real estate outcome resulting from AdamIQ use. AdamIQ outputs may contain inaccuracies, omissions, outdated information, extraction errors, computational errors, incorrect assumptions, or incomplete analysis. Outputs must be independently verified and should not be used as the sole basis for any investment, financing, business, legal, tax, accounting, or real estate decision.
Ascendry may also use or demonstrate AI-assisted tools, systems, automations, workflows, summaries, research, templates, or other AI-generated or AI-supported materials in connection with selected educational, analytical, operational, content, or administrative functions. These Ascendry AI-assisted functions are separate from AdamIQ unless expressly identified otherwise.
AI-assisted Ascendry Services may contain inaccuracies, omissions, outdated information, incorrect assumptions, or incomplete analysis and are subject to human review and independent verification. Ascendry does not guarantee that AI-assisted Services will produce accurate results, save a particular amount of time or labor, improve business performance, improve investment performance, or produce any specific transaction or financial outcome.
9. Community Conduct
The Ascendry community is intended for serious, respectful, and constructive participation. You agree not to:
- Harass, threaten, defame, abuse, or disparage other members, Ascendry personnel, speakers, guests, or community participants.
- Spam, solicit, advertise, recruit, promote outside businesses, or send unsolicited commercial messages without Ascendry's written permission.
- Share, disclose, copy, scrape, or misuse another member's private information, deal information, documents, financial information, contact information, or confidential materials.
- Misrepresent your identity, experience, capital, credentials, portfolio, deal history, results, or affiliation with Ascendry.
- Use the Services to distribute securities offerings, solicit investments, raise capital, or promote investment opportunities except as expressly permitted under these Terms and applicable law.
- Upload malicious code, disrupt the Services, bypass access controls, scrape content, interfere with other users, or misuse the website, community, tools, or systems.
- Record, copy, reproduce, redistribute, publish, resell, or publicly share restricted-access content, recordings, calls, templates, scripts, downloads, or community discussions without permission.
- Use Ascendry content, user content, call recordings, transcripts, templates, deal materials, or community discussions to train external AI systems or build competing products without written permission.
Ascendry may remove content, moderate discussions, restrict access, suspend accounts, or terminate participation or access that violates these standards or otherwise creates legal, operational, reputational, or safety risk. In cases of serious misconduct, Ascendry may terminate access immediately, subject to applicable law and any controlling separate written agreement.
10. User Content and Confidentiality
You retain ownership of content you submit, post, upload, or share in the Services, including comments, questions, deal discussions, files, examples, and other materials ("User Content"). By submitting User Content, you grant Ascendry a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, transmit, excerpt, and use that User Content as reasonably necessary to operate, improve, moderate, and provide the Services. This operational license does not by itself authorize Ascendry to use your identity, testimonial, or case study in public marketing without applicable permission or consent.
You are responsible for ensuring that you have all rights necessary to share User Content. You should not upload or share confidential, proprietary, regulated, personal, or third-party information unless you have the right to do so and are comfortable with the risks of sharing it in a program, review, call, community, or other collaborative environment.
Participant or user deal information, private messages, private documents, and non-public community or program discussions may not be shared outside the Services without permission from the person or entity that provided the information, except as required by law.
11. Intellectual Property and License Restrictions
All Ascendry content, materials, curriculum, templates, scripts, frameworks, call recordings, downloads, documents, branding, graphics, website content, community materials, and other resources are owned by Ascendry or its licensors and are protected by intellectual property and other laws.
Subject to these Terms and your active, paid access to the applicable Services, Ascendry grants you a limited, revocable, non-exclusive, non-transferable license to access and use Ascendry restricted-access content for your personal, internal, non-commercial educational use. You may not copy, resell, redistribute, sublicense, publish, publicly display, share, exploit, or create derivative commercial products from Ascendry content without written permission.
If you provide feedback, ideas, suggestions, or recommendations about Ascendry or the Services, you grant Ascendry the right to use them without restriction, attribution, or compensation.

AdamIQ software, outputs, data rights, and platform materials are governed by AdamIQ's separate terms and policies.
12. Third-Party Services and Links
The Services may use or link to third-party platforms and providers, including payment processors, community platforms, email and CRM systems, messaging providers, software tools, webinar platforms, analytics tools, AI and automation tools, hosting providers, and other service providers.
Ascendry's community may be hosted on Circle, a third-party community platform operated by CircleCo, Inc. Your use of the Ascendry community may also be subject to Circle's applicable terms, privacy policy, platform rules, and technical requirements.
Ascendry is not responsible for third-party platforms, websites, services, terms, policies, security, availability, content, or practices. Your use of third-party services may be governed by separate terms and policies from those providers.
13. Privacy
Our Privacy Policy explains how Ascendry collects, uses, discloses, and protects personal information in connection with the Services. By using the Services, you acknowledge the Privacy Policy. AdamIQ's collection and use of information is governed by AdamIQ's separate privacy policy and platform terms. If you access the Ascendry community through Circle, certain information may also be processed by Circle in accordance with Circle's applicable privacy terms.
14. Service Changes and Availability
Ascendry may modify, add, suspend, discontinue, replace, or remove features, content, schedules, calls, workshops, events, deal reviews, one-on-one sessions, tools, templates, benefits, community areas, integrations, software access, and other parts of the Services as the business evolves. We do not guarantee that any particular feature, call, event, speaker, recording, template, tool, platform, integration, software feature, or resource will remain available indefinitely.
We strive to keep the Services available, but we do not guarantee uninterrupted, error-free, secure, or continuous access. Service interruptions may occur because of maintenance, upgrades, third-party outages, security issues, force majeure events, or other circumstances.
15. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, Ascendry disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
Ascendry does not warrant that the Services will meet your expectations, produce any specific result, be uninterrupted or error-free, or that any educational content, analytical material, examples, templates, communications, community discussions, AI-assisted outputs, reviews, verdicts, or resources will be accurate, complete, current, or suitable for your particular circumstances.
16. Limitation of Liability
To the fullest extent permitted by law, Ascendry and its founders, owners, managers, officers, employees, contractors, affiliates, representatives, speakers, guests, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages arising out of or related to the Services, even if advised of the possibility of such damages.
This includes, without limitation, lost profits, lost revenue, lost business opportunities, lost data, investment losses, financing losses, deal losses, real estate losses, business interruption, or other economic losses.
To the fullest extent permitted by law, Ascendry's total liability for any claim arising out of or related to the Services will not exceed the amount you paid to Ascendry for the Services during the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, Ascendry's liability will be limited to the maximum extent permitted by law.
17. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Ascendry and its founders, owners, managers, officers, employees, contractors, affiliates, representatives, speakers, guests, licensors, and service providers from any claims, losses, damages, liabilities, costs, or expenses, including reasonable attorneys' fees, arising from your use of the Services, your content or statements, your violation of these Terms or applicable law, or your investment, business, real estate, financing, legal, tax, or professional decisions.
18. Suspension and Termination
Ascendry may suspend or terminate your access to the Services if you fail to pay amounts due, violate these Terms, misuse the Services, infringe intellectual property rights, engage in prohibited conduct, create legal or operational risk, or act in a manner Ascendry reasonably determines is harmful to Ascendry, the Services, other participants, or third parties.
Upon termination, your right to access restricted-access Services ends. Suspension, termination, or withdrawal does not create a right to a refund and does not relieve you of outstanding payment obligations, except as required by applicable law or provided in a controlling separate written agreement. Any provisions that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and other protective provisions.
You are responsible for keeping your own copies of any content, files, or materials you submit to the Services, as access may end if your account, participation, or access is suspended or terminated.
19. Dispute Resolution, Arbitration, Class Action Waiver, and Governing Law
Before filing any claim, you and Ascendry agree to first attempt to resolve the dispute informally by written notice and good-faith negotiation for at least thirty (30) days.
If the dispute is not resolved informally, it will be resolved by binding arbitration on an individual basis, except that either party may bring qualifying claims in small-claims court or seek injunctive or equitable relief for intellectual property misuse, confidentiality violations, unauthorized access, or misuse of the Services.
You and Ascendry agree that claims may be brought only on an individual basis and not as part of any class, collective, consolidated, private attorney general, or representative action, to the fullest extent permitted by law.
These Terms are governed by the laws of the State of Delaware, except that the Federal Arbitration Act governs the arbitration agreement. Nothing in these Terms limits any non-waivable rights you may have under applicable law.
20. Changes to the Services or Terms
We may update these Terms or modify the Services from time to time. If we make material changes to these Terms, we will provide notice by email, website notice, account notice, or another reasonable method. The updated Terms will be effective as of the date stated in the notice or posted Terms. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms to the extent permitted by applicable law.
21. Miscellaneous
These Terms, together with our Privacy Policy, Earnings & Results Disclaimer, Refund & Cancellation Policy, and any other policies incorporated by reference, form the general agreement between you and Ascendry regarding the Services.
Certain Services may also be subject to a separate application, enrollment agreement, order form, invoice terms, services agreement, engagement agreement, release, consent, or other written terms. If a separate written agreement conflicts with these Terms, the separate written agreement controls for that specific Service to the extent of the conflict. Otherwise, these Terms remain in effect.
If any part of these Terms is found unenforceable, the rest will remain in effect. Ascendry's failure to enforce any provision is not a waiver. You may not assign or transfer your enrollment, account, access, or rights under these Terms without Ascendry's written consent. Ascendry may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or other business transfer.
By using the Services, you consent to receive notices, disclosures, account messages, billing and payment notices, program or service notices, policy updates, and other communications electronically, including by email, website notice, account notice, or other reasonable electronic method.
